Terms of Service: Municipal Tariff Update Registry

1. Acceptance of Terms

    This Agreement (“Agreement”) is a legally binding contract between the registered municipal corporation (“Municipality,” “you”) and The Digital Transportation System,        operating as 17467184 Canada Inc. (“Platform Provider,” “we,” “us”). It governs your designated employees’ access to and use of the Municipal Tariff Update Registry            (the “Registry”).

By registering an account or accessing the Registry, you acknowledge that you have the legal authority to bind the Municipality to this Agreement and agree to its terms. Any individual accessing the Registry does so on the Municipality’s behalf.

2. Authorized Users & Identity Verification

2.1. Designation of Officers.

       The Municipality may designate specific, named individuals who are currently employed as Municipal Law Enforcement Officers or By-law Officers (each an                           “Authorized Officer”) to access the Registry.

2.2. Verification of Authority. 

        As a condition of access, the Platform Provider is authorized to verify the status and employment of any individual attempting to register or log in as an Authorized                  Officer. This may include, but is not limited to, requiring official municipal email addresses, direct contact with municipal clerks or supervisors, and verification of                  official identification.

2.3. Sole Responsibility. 

       The Municipality is solely responsible for all activities that occur under its account and for ensuring that only authorized officers are granted access. The Municipality               must immediately notify the platform provider of any unauthorized use of its account or any other breach of security.

3. Grant of License & Permitted Use

3.1. Limited License. 

       Subject to this Agreement, the Platform Provider grants the Municipality a limited, non-exclusive, non-transferable, revocable license to access and use the Registry                 solely for the purpose of setting, reviewing, and updating the official tariff rates (fares, standing times, and other regulated fees) for the ground transportation industry               within the Municipality’s geographic jurisdiction.

3.2. Permitted Use. 

       The Registry may only be used for lawful municipal regulatory purposes. The act of setting a tariff through the Registry constitutes the official and legally binding                   enactment of that tariff for all Brokerages and Companies operating within the Platform in the Municipality’s jurisdiction, in accordance with the Municipality’s enabling         by-law.

4. Unauthorized Access & Criminal Liability

4.1. Acknowledgment of Law. 

       All users of this system are hereby put on notice that the Criminal Code of Canada expressly prohibits the impersonation of a peace officer or public officer.

        * **Section 130 (Personating a Peace Officer):** Everyone who falsely represents himself to be a peace officer or public officer is guilty of an offence                                              punishable on summary conviction.

        * **Section 131 (Perjury):** Knowingly providing false statements under oath or in a statutory declaration during the verification process may constitute perjury.

4.2. Zero-Tolerance Policy. 

       Any attempt to access, or successful unauthorized access to, the Registry by an individual who is not an Authorized Officer will be treated as a serious criminal matter.             The Platform Provider will, without exception:

       (a) Immediately terminate the unauthorized account and any associated sessions.

       (b) Preserve all digital evidence, including IP addresses, timestamps, and all submitted information.

       (c) Report the incident, along with the preserved evidence, to the relevant municipal police service and the affected Municipality for investigation and potential                               prosecution.

5. Tariff Updates & System Functionality

5.1. Immediate Effect. 

       Upon an Authorized Officer clicking the “Submit,” “Update,” or equivalent button to confirm a new tariff, the system will automatically and immediately update the fare         structures for all Brokers and Companies whose registered operations fall within the specified Municipality. The Platform Provider is not responsible for providing prior           notice to Brokers or Companies, as this is the legal responsibility of the Municipality.

5.2. No Fiduciary Duty. 

       The Platform Provider acts as a passive conduit for the Municipality’s regulatory actions. We assume no responsibility for the legality, appropriateness, or economic                  impact of the tariffs you set. The Municipality alone is responsible for ensuring its tariff rates are set in accordance with its own legal procedures and authority.

6. Disclaimer of Warranties & Limitation of Liability

6.1. “As Is” Service. 

       The Registry is provided on an “as is” and “as available” basis. The Platform Provider makes no warranties, express or implied, regarding the uninterrupted or error-free           operation of the Registry.

6.2. Limitation of Liability. 

       To the fullest extent permitted by law, the Platform Provider shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including            lost profits or data, arising from the Municipality’s use of the Registry or the setting of tariff rates, even if advised of the possibility of such damages.

6.3. Indemnification. 

      The Municipality agrees to indemnify, defend, and hold harmless the Platform Provider, its affiliates, and their respective officers from any and all claims, losses,                       liabilities, damages, and expenses (including reasonable legal fees) arising from the Municipality’s use of the Registry, the tariff rates it sets, or its breach of this                         Agreement.

7. Termination

     Either party may terminate this Agreement at any time with written notice to the other. Upon termination, the Municipality’s access to the Registry will be revoked. The           Platform Provider reserves the right to suspend or terminate access immediately for any suspected violation of this Agreement, particularly Section 4.

8. Governing Law & Jurisdiction

    This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario. Any legal action or proceeding arising under this Agreement           will be brought exclusively in the courts of the Province of Ontario.
